I know a couple of people (LaughingLizard, I know there was someone else..) here have said they like it a lot (Swift To-Do List)

Well I settled on Active Desktop Caldendar for Windows XP. It doesn't seem to have the countdown timer but it has the calender and todo list and stuff.
It's pretty good and I'm happy with it.
