If you want to cleanly shutdown Explorer without having it automatically restart: Start->Shutdown->CTRL+ALT+SHIFT+Cancel.

Why is it useful? What is wrong with stopping it from the Task Manager ?

kimmchii:
it's a proper way of exiting explorer.exe, if you stop it it from the Task Manager, eventho the taskbar is gone, the taskbar area will not be occupied.
